Terms of Use - Asite for Architects

These Terms of Use between the Customer (“you” or “your”) and Asite Solutions Limited (“Asite”), governs your access to and use of Asite for Architects (the “Services”). By using the Services, you confirm that you have read, understood and agree to these Terms of Use.

1. What you are getting

1.1 Asite gives you a limited, non-exclusive, non-transferable, revokable licence to access and use the Services, for your own professional use only. You may not sub-licence, resell or transfer this right to anyone else.
1.2 Asite does not guarantee that the Services will be fully uninterrupted or error-free, but will use reasonable efforts to correct any error of the Services reported by you as soon as reasonably practicable in accordance with the service level agreement which can be accessed at http://asite.com/sla (“Service Level Agreement”). You acknowledge that correction or substitution under the Service Level Agreement constitutes your sole and exclusive remedy for any non-conformance with the Services.

2. Your responsibilities

2.1 You agree, for yourself and on behalf of the Authorised Users to:

• use the Services only in accordance with the Terms of Use and for lawful, professional purposes and in good faith;
• make sure the Authorised Users complies with these Terms of Use. You are responsible for their actions;
• keep your use within the Storage Capacity and any other fair-use limits as set by Asite;
• not duplicate, modify, distribute, sublicense, reverse engineer or attempt to derive source code from the Services or documentation;
• promptly report any errors;
• not use, store, distribute, transmit or operate any virus or vulnerabilities or engage in any activity that is unlawful, unethical, or in breach of applicable data protection or intellectual property rights or anything that infringes someone else's rights;
• promptly report any errors or problems you notice;
• only upload such documents and data (“Submitted Content”) that you own or have the right to share and you acknowledge and agree that you are solely responsible for Submitted Content;
• not use the Services for the benefit of, or make the Services available to, any person or entity that is subject to applicable sanctions laws. You must promptly notify Asite where you become aware of any such circumstances;
• provide internal test data, users and project scenarios to Asite;
• support testing through feedback, validation and provide at least 1 active architectural project, so Asite can get feedback on how the Services perform on live architectural projects from time to time.

2.2 You confirm that your Submitted Content does not infringe any third party's rights, and Asite is not responsible for it. If a third party ever brings a claim against Asite because your Submitted Content infringed their rights, you agree to cover Asite's losses, costs and legal fees arising from that claim.

3. Your data & how it is used

3.1 Asite will process any information or data you input (“User Data”), including personal data, in order to provide the Services, in line with the data protection law i.e UK GDPR and Data Protection Act 2018. By using the Services, you agree to this and non-exclusive, non-transferable, royalty-free licence and right to process (or have processed on its behalf) User Data where reasonably incidental to the performance of Services.

3.2 You agree that Asite shall:

• process (or have processed on its behalf) User Data where reasonably incidental to the performance of Asite’s obligations hereunder;
• Create anonymised, aggregated statistical data from your use of the Services (which excludes any information or data which may be associated with a particular person, transaction or series of transactions) and to use or licence the use of such anonymised data in connection with the creation and/or exploitation of new services, functionality, software or database products (including adaptations and enhancements thereof); and process and capture drawings and other design elements, including their corresponding room outlines, texts, documents and 3D files solely for the purpose of improving the accuracy, efficiency, performance and functionality of Asite’s Services, thereby ensuring a better user experience;

User Data is stored and processed in the United Kingdom and each party shall comply with all applicable data protection and privacy laws of the relevant jurisdiction (as amended, updated or replaced from time to time).

4. Ownership

4.1 Each party keeps ownership of its own intellectual property. Nothing here transfers ownership of your existing intellectual property rights to Asite, or Asite's existing intellectual property rights to you. Any AI models, features, improvements or other deliverables that Asite develops in connection with the Services belong solely to Asite, even if developed using feedback or data you provided.

5. Term & Termination

5.1 These Terms are valid for the Term of 12 months from date of you signing up for the Services, unless ended earlier in accordance with clause 5.2.

5.2 These Terms of Use may be terminated:

1. automatically on expiry of the Term; or
2. by either party (i) for convenience at any time by providing thirty (30) days prior written notice to the other party; (ii) immediately, if the other party breaches any terms of Terms of Use and fails to correct such material breach within seven (7) days following written notice specifying the breach and requiring its remedy; or (iii) immediately, if the other enters into liquidation whether compulsory or voluntary (other than for the purposes of amalgamation or reconstruction where the emerging company assumes the obligations of that party entering liquidation), compounds with its creditors or has an administrator, administrative receiver (or other encumbrance) appointed over its assets, or threatens to do any of the foregoing; or (iv) by a written notice, if a force majeure persist for longer than thirty (30) days and performance has not recommenced.

5.3 Asite may, at its sole option, terminate or suspend the provision of the whole or any part of the Services immediately and shall not provide notice or an opportunity to export User Data before termination or suspension of access to the Services if (a) in Asite’s reasonable opinion, your use could adversely affect its Services, reputation or compliance with applicable laws; (b) Asite reasonably believes that the suspension of the Services is necessary to protect its infrastructure, network or the use of the Services by other Customers because of a threat to the security, integrity or use of the Services (c) breach of Fair usage as set out in clause Error! 6. Limitation of Liability
6.1 You acknowledge and accepts that the Services are provided on “As-is” basis and AI systems, including those deployed within the Asite for Architects are inherently non-deterministic and may generate inaccurate, incomplete or unexpected results. Accordingly, you agree that you shall remain solely responsible and liable for verifying the accuracy, suitability, and reliability of any outcome generated by the Asite for Architects, and for all decisions or actions taken in reliance upon such outcomes.

6.2 To the fullest extent permitted by law, Asite shall have no liability, whether in contract or tort or under any other legal theory for any loss, damage, costs or claims incurred by you or the Authorised Users arising out of or in connection with the reliance on any outcome generated by the Asite for Architects. You shall be liable for all risks associated with such use of, or reliance on, any outcome generated by the Asite for Architects.

7. Fair Use 
7.1 You must ensure that its use of the Services remains within the maximum applicable and allowable technical or operational limits imposed by Asite, of bandwidth usage, Storage Capacity or other resource constraints in aggregate imposed by Asite to ensure fair and efficient use of the Services.

7.2 Asite reserves the right to monitor usage of the Asite for Architects to ensure compliance with this clause. In the event of any material misuse or breach of this clause, Asite reserves the right to take reasonable and proportionate measures, including without limited to, issuing usage warnings, requiring remedial action or temporarily suspending access or restriction of access.

7.3 You agree to use the Services reasonably and in good faith, and not in a way that degrades performance or availability for other Asite customers, or breaches any law or storage/bandwidth limits Asite sets. Asite may monitor use for compliance and may issue warnings, require corrective action, or suspend access if you breach this section.

8. Publicity

8.1    Asite may refer to you as a user of the Services in in its advertising and/or promotional literature, case studies, on its website, and in other marketing materials. 

9.    General

9.1 The Terms of Use is intended to be legally binding, however, nothing in the Terms of Use is intended to, or shall be deemed to, establish any partnership, joint venture or agency relationship between the parties.  

9.2 In the event any provision of the Terms of Use is held to be invalid or unenforceable, the remaining provisions of the Terms of User will remain in full force and effect.

9.3 The parties agree to hold each other’s confidential information in confidence and, unless required by mandatory law or for the purpose of providing the Services in accordance with the Terms of Use.

9.4 Neither party is liable for delays caused by events outside its reasonable control (e.g. natural disasters, strikes, war). If this lasts more than 30 days, either party may end these Terms.

9.5 Notices to Asite should be sent to finance@asite.com; notices to you will go to the email you provide above.

9.6 Each party agrees to comply with all applicable laws and regulations with respect to its activities hereunder, including but not limited to any export laws and regulations of any relevant jurisdiction.

10.    Governing Law

10.1 These Terms are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the English courts.
